Your new role
As a Senior Corporate Law Clerk, you will join the Business Law team in the Toronto office. Your responsibilities will include preparing documents related to corporate reorganizations, share or asset purchase transactions, and tax reorganizations. You will also organize and maintain corporate records, conduct minute book reviews, and prepare both Provincial and Federal incorporations. Additionally, you will liaise with clients, accountants, lawyers, and regulators to take instructions, obtain information, and report on the status of matters. Transaction support will also be a key part of your role.
What you'll need to succeed
- Completion of a recognized law clerk program and a Law Clerk designation.
- A minimum of 8-10 years of experience as a (Senior) Corporate Law Clerk in a law firm environment.
- Experience with corporate database software, notably Athennian and OnCorp.
- Proficiency with Microsoft Office Suite.
- Strong knowledge of Ontario and Federal corporate law, with exposure to other Canadian jurisdictions.
- Excellent time management skills and the ability to meet deadlines.
- Proven effectiveness in delivering fast and accurate client service.
- Strong communication skills, both verbal and written.
- Demonstrated initiative and the ability to work proactively and independently, as well as in a team environment.
- Excellent organizational skills and the ability to redefine priorities when necessary.
- Strong attention to detail and the ability to analyze legal documents for accuracy.
- Ability to work efficiently and effectively with technology.
- Curiosity about corporate law and a willingness to continuously learn and develop new skills.
- Ability to respond to urgent client requests outside of normal business hours, if required.
- Experience with not-for-profits and US cross-border matters would be an asset.
